This License Agreement ("Agreement") is made between JewelKitPro ("Licensor") and the individual or entity licensing the JewelKitPro Kits ("Licensee"), effective upon the date of digital acceptance by the Licensee. By downloading, installing, or using the JewelKitPro Kits and its associated files ("JKP"), the Licensee agrees to be bound by the terms of this Agreement.

1. Grant of License

Licensor hereby grants the Licensee a non-exclusive, non-transferable, node-locked license to use JKP on a single specified device owned or controlled by the Licensee. This license is for the Licensee's personal or internal business purposes only, subject to the terms and conditions outlined in this Agreement.

2. Node-Locked License

• Definition: A node-locked license means that JKP can only be used on the device for which it was originally licensed (the "Licensed Device").
• Device Change: If the Licensee wishes to transfer the JKP to a new device, the Licensee must first sign a Device Transfer and Termination Agreement provided by the Licensor. This agreement will confirm the Licensee's commitment to cease using the JKP on the old device and allow for the issuance of a new download link for installation on a new device.

3. Restrictions

The Licensee shall not: copy, distribute, rent, lease, lend, sell, sublicense, or otherwise make the JKP available to any third party or other device. This includes, but is not limited to: sharing using AirDrop, e-mail, shared cloud storage,…

4. Intellectual Property

JKP is the property of the Licensor and is protected by intellectual property laws. The Licensee does not acquire any ownership rights by downloading or using JKP. Designs created by the Licensee using JKP are considered intellectual property of the Licensee.

5. Termination

This Agreement is effective until terminated. The Licensee's rights under this Agreement will terminate automatically without notice if the Licensee fails to comply with any of its terms. Upon termination, the Licensee must cease all use of JKP and destroy all copies.

6. Disclaimer of Warranties

JKP is provided "AS IS," without warranty of any kind, express or implied. The Licensor disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

The Licensor shall not be liable for any damages, including any general, special, incidental, or consequential damages arising out of the use or inability to use JKP.

8. Governing Law

This Agreement is governed by the laws of The European Union, without regard to its conflict of law provisions.

9. Refund Policy

Upon purchasing a kit from JewelKitPro, the purchaser acknowledges and agrees to the terms of this no-refund policy. Due to the digital offline nature of JewelKitPro and the immediate access provided to proprietary content upon purchase, we do not offer refunds or exchanges once a kit has been purchased and downloaded. All transactions involving the purchase of a JewelKitPro kit are final and non-refundable.

In the rare event that technical issues prevent initial access to JewelKitPro, users are urged to contact our customer support team promptly for assistance. Our dedicated team will endeavor to resolve such issues, ensuring access to the software as intended under the license agreement. However, resolution of access issues does not constitute grounds for a refund.

This no-refund policy is part of our License Agreement, and by purchasing a license for JewelKitPro, the purchaser agrees to these terms.

10. Amendments

The Licensor reserves the right to amend this Agreement at any time, with notice to the Licensee.

By accepting this Agreement, the Licensee acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
